Rogue Studio Affiliate Program Terms
These Affiliate Program Terms (“Terms”) govern participation in the Rogue Studio Affiliate Program (“Program”) operated by Fan Genie LLC, a California Corporation (“Company,” “we,” “us,” or “our”).
By applying to, enrolling in, accessing, or participating in the Program, you (“Affiliate,” “you,” or “your”) acknowledge that you have read, understood, and agreed to these Terms, our Privacy Policy, Acceptable Use Policy, Content and Safety Policy, and any additional written Program guidelines we provide.
If you do not agree to these Terms, do not participate in the Program.
1. Eligibility
To participate in the Program, you must:
- Be at least 18 years old and legally capable of entering into a binding agreement.
- Provide complete and accurate registration, identity, payment, and tax information.
- Maintain an active affiliate account in good standing.
- Comply with these Terms and all applicable laws, regulations, advertising rules, and platform policies.
- Reside in a country or territory in which the Company permits affiliate participation.
We may accept or reject any application at our sole discretion. Acceptance into the Program does not guarantee continued participation or any minimum level of compensation.
You may not participate if doing so would violate applicable law, contractual restrictions, sanctions, payment-provider requirements, or the policies of a platform you use.
2. Independent Contractor Relationship
You participate in the Program as an independent contractor.
Nothing in these Terms creates an employment, agency, franchise, partnership, joint venture, fiduciary, or representative relationship between you and the Company.
You may not:
- Enter into agreements on behalf of the Company.
- Make promises or warranties on behalf of the Company.
- Represent that you are an employee or authorized representative of the Company.
- Create obligations or liabilities for the Company.
- Suggest that the Company has approved content, claims, or promotional methods unless we have done so in writing.
You are responsible for your own expenses, equipment, insurance, licenses, taxes, and business operations.
3. Program Tiers
The Program currently includes the following tiers.
3.1 Community
Community affiliates may earn:
15% of eligible net revenue from each qualified referred customer for the customer’s first six months.
Community participation may be made available to eligible users of [Product Name].
3.2 Select
Select affiliates may earn:
25% of eligible net revenue from each qualified referred customer for the customer’s first six months.
An affiliate may enter Select:
- By direct invitation from the Company; or
- After reaching at least five qualified referred customers, subject to verification and the Company’s Program configuration.
3.3 Elite
Elite affiliates may earn:
30% of eligible net revenue from each qualified referred customer for the customer’s first twelve months.
An affiliate may enter Elite after reaching at least fifteen qualified referred customers, subject to verification and the Company’s Program configuration.
3.4 Tier administration
Unless the Company states otherwise in writing:
- Referral thresholds are cumulative.
- Affiliates may only belong to one Program tier at a time.
- Tier changes become effective when recorded in the Company’s affiliate platform.
- A higher commission rate applies to eligible payments processed after the tier change.
- Tier changes are not retroactive.
- The payment or referral that causes a tier upgrade may be compensated at either the prior or upgraded rate depending on the order in which the affiliate platform processes the applicable events.
- The Company may manually approve, delay, deny, reverse, or correct a tier change where necessary to address fraud, errors, refunds, abuse, technical problems, or noncompliance.
- The Company may create custom terms for strategic partners through a separate written agreement.
We may change Program tiers, qualification thresholds, rates, or durations prospectively by providing notice as described in these Terms.
4. Qualified Referrals
A “Qualified Referral” is a new customer who:
- Accesses the Company’s service through your valid affiliate link or other approved tracking method.
- Is properly attributed to you by the Company’s affiliate platform.
- Purchases an eligible paid product or subscription.
- Successfully completes payment.
- Is not already an existing customer, unless the Company expressly permits the applicable campaign.
- Is not a duplicate, fraudulent, artificially generated, or self-referred account.
- Is not acquired through prohibited promotional conduct.
- Remains past any applicable fraud, refund, or commission-review period.
- Otherwise satisfies the rules displayed in the affiliate platform.
The Company’s records and affiliate-platform data will control when determining attribution, eligibility, tier status, commission amounts, and payment status, except in the event of an evident error.
5. Attribution
Referral attribution depends on the tracking technology and settings used by the Company’s affiliate platform.
Unless otherwise stated in the affiliate dashboard:
- A referral must use your valid affiliate link or approved tracking code.
- Attribution may be based on the last eligible affiliate interaction before conversion.
- Referral cookies or similar identifiers may expire after the attribution period configured by the Company.
- A referral may not be credited if tracking is blocked, deleted, interrupted, incorrectly implemented, or unavailable.
- The Company is not required to manually credit referrals that were not properly tracked.
- Only one affiliate may receive credit for a particular customer or transaction.
You may not interfere with or manipulate attribution technology.
6. Commissions
Commissions are calculated as a percentage of eligible net revenue actually received by the Company.
“Eligible Net Revenue” means amounts successfully collected from an eligible referred customer, excluding, as applicable:
- Taxes.
- Refunds.
- Chargebacks.
- Credits.
- Discounts and coupons.
- Promotional balances.
- Complimentary access.
- Payment-processing reversals.
- Fraudulent transactions.
- Amounts not successfully collected.
- Services, products, or transactions excluded from the Program.
- Any amount the Company is legally prohibited from paying.
Commissions do not accrue on free accounts, free trials, internal accounts, test transactions, self-referrals, or purchases made primarily to obtain an affiliate benefit.
Commission calculations may be subject to currency conversion, rounding, processor fees, or other adjustments described in the affiliate dashboard.
7. Commission Review and Reversals
Commissions may remain pending during a review period of up to [30/45/60] days or for any longer period reasonably required to investigate fraud, disputes, refunds, compliance concerns, or payment issues.
We may reject, cancel, withhold, offset, or reverse a commission associated with:
- A refund or chargeback.
- A canceled or reversed transaction.
- Fraud or suspected fraud.
- Duplicate or fake accounts.
- Self-referrals.
- Misleading, unlawful, or unauthorized promotion.
- A violation of these Terms.
- A technical or calculation error.
- Transactions generated primarily to manipulate Program thresholds.
- Customers who do not satisfy the Qualified Referral requirements.
If a commission has already been paid, we may deduct the amount from future payments or request repayment.
8. Payments and Taxes
Affiliate payments will be processed according to the schedule, minimum payout threshold, available payment methods, and other requirements displayed in the affiliate dashboard.
You are responsible for:
- Maintaining correct payment information.
- Completing identity or compliance verification.
- Providing requested tax forms.
- Paying all taxes associated with your Program earnings.
- Confirming that you are legally permitted to receive payments.
We may delay or withhold payment until required documentation or verification is complete.
The Company is not responsible for payment delays caused by incomplete information, payment processors, banking institutions, sanctions checks, tax requirements, or events outside our reasonable control.
9. Required Affiliate Disclosures
You must clearly and conspicuously disclose your financial relationship with the Company whenever you promote or endorse [Product Name].
The disclosure must be:
- Easy to notice and understand.
- Placed close to the endorsement or affiliate link.
- Presented before or at the time a consumer encounters the recommendation.
- Appropriate for the format being used.
- Included visually and verbally where appropriate for video or livestream content.
- Provided in the same language as the endorsement.
Acceptable disclosures may include:
- “Affiliate link: I may earn a commission if you subscribe.”
- “Paid affiliate partnership with [Product Name].”
- “I earn a commission from qualifying purchases made through this link.”
Disclosures such as “partner,” “collab,” or “ambassador” may be insufficient when used without a clearer explanation of the financial relationship.
You may not hide disclosures in hashtags, profile pages, terms pages, collapsed text, the end of a long caption, or any location consumers are unlikely to notice before acting.
10. Truthful Advertising
All promotional statements must be truthful, accurate, supportable, and consistent with the Company’s current product functionality and approved materials.
You may not:
- Make false, deceptive, exaggerated, or unsubstantiated claims.
- Guarantee results, earnings, audience growth, income, performance, or output quality.
- Claim that the service is risk-free, unrestricted, anonymous, untraceable, or legally approved.
- Misrepresent the service’s privacy, security, moderation, ownership, consent, or compliance features.
- Claim personal experience with features you have not actually used.
- Create fake reviews, testimonials, comments, engagement, or customer accounts.
- Misrepresent AI-generated content as genuine customer evidence.
- Suggest that unlawful or prohibited use is permitted.
- Omit material limitations needed to prevent a statement from being misleading.
- Modify approved marketing materials in a way that makes them inaccurate or deceptive.
You must promptly correct or remove any promotional material the Company identifies as inaccurate, outdated, misleading, unsafe, or noncompliant.
11. Adult-Oriented and AI Content Restrictions
Because [Product Name] is an adult-oriented artificial-intelligence product, all promotion must be directed exclusively toward adults.
You may not promote the Company or the service through content, audiences, language, imagery, communities, websites, or channels that are directed toward or reasonably likely to attract minors.
You may not create, publish, distribute, request, encourage, link to, or promote content involving:

You may not imply that the Company approves the creation of explicit content involving real individuals, public figures, private persons, or third parties without their authorization.
You must comply with the Company’s Acceptable Use Policy and Content and Safety Policy at all times.
12. Promotional Channels
You may promote the Program through lawful and properly disclosed channels that permit adult-oriented and affiliate content.
You are responsible for reviewing and following every platform’s applicable rules.
Without prior written approval, you may not:
- Use paid advertising that targets the Company’s trademarks or branded search terms.
- Purchase domain names, social handles, keywords, or account names incorporating the Company’s brand.

- Promote the service in physical or digital spaces primarily intended for minors.
13. Email, Messaging, and Outreach
You may not send spam or unsolicited commercial communications promoting the Company.
All email, text, direct-message, and other outreach must comply with applicable law and platform rules.
You may not:
- Use purchased, rented, scraped, harvested, or unlawfully obtained contact lists.

When required, communications must include accurate sender identification, legally required disclosures, a valid physical mailing address, and a functional opt-out method.
14. Intellectual Property
Subject to these Terms, the Company grants you a limited, revocable, nonexclusive, nontransferable, nonsublicensable license to use Company-provided logos, screenshots, graphics, and marketing materials solely to promote the Program.
You may not:
- Modify Company trademarks without written approval.

- Suggest that your website, account, business, or content is owned or operated by the Company.
- Use Company assets after your Program participation ends.
All rights not expressly granted remain with the Company.
The Company may require you to modify or remove any use of its intellectual property at any time.
15. Your Content and Publicity
You retain ownership of promotional content you create, subject to the Company’s intellectual-property rights.
By submitting promotional content directly to the Company or tagging the Company with the apparent intent that the content be shared, you grant the Company a nonexclusive, worldwide, royalty-free license to display, repost, reproduce, and distribute that content for Program administration and promotion, unless you notify us otherwise in writing.
The Company will not use your name, image, likeness, or content in paid advertising without any additional permission required by applicable law.
16. Confidential Information
You may receive nonpublic information about the Company, its product, users, pricing, campaigns, technology, finances, or plans.
You must:
- Use confidential information only for authorized Program purposes.
- Protect it using reasonable care.
- Not disclose it to third parties without written permission.
- Stop using and, upon request, delete or return it when your participation ends.
Confidential information does not include information that you can demonstrate was lawfully public, independently developed, or received without a confidentiality obligation.
17. Monitoring and Compliance
The Company may monitor affiliate activity, promotional materials, traffic sources, customer quality, conversion patterns, and Program communications to protect the Program and verify compliance.
You agree to provide reasonable information about your promotional methods and traffic sources upon request.
We may require you to remove or revise promotional content. You must comply promptly, and no later than [24/48] hours after receiving notice unless we approve a different timeframe.
Failure to respond may result in suspension, withheld commissions, or termination.
18. Suspension, Downgrades, and Termination
Either party may end the affiliate relationship at any time.
The Company may immediately suspend, downgrade, or terminate your participation for:
- Violation of these Terms or Company policies.
- Fraud, suspected fraud, or abusive conduct.

- Conduct that creates legal, payment, reputational, safety, or platform risk.
- Failure to maintain accurate account, payment, or tax information.
- Inactivity.
- Manipulation of referral or tier thresholds.
- Promotion involving minors, nonconsensual content, or prohibited real-person imagery.
- Any reason the Company determines reasonably necessary to protect users, the Company, or the Program.
Upon termination:
- You must stop using affiliate links and Company materials.

- Pending commissions may remain subject to review.
- Commissions arising from fraud, violations, prohibited promotion, or ineligible transactions may be canceled.
- Unless prohibited by law or otherwise stated in writing, no additional commissions will accrue after termination.
- Provisions intended to survive termination will remain effective.

We may modify, pause, replace, or discontinue any part of the Program, including commission rates, tiers, thresholds, attribution periods, eligible products, payment schedules, and qualification requirements.
Material changes will apply prospectively after notice through the affiliate dashboard, email, or another reasonable method.
Continued participation after the effective date of updated Terms constitutes acceptance of the updated Terms.
Where required by law, we will obtain renewed affirmative acceptance.
20. No Guarantee of Earnings
Participation does not guarantee commissions, income, traffic, conversions, customers, or any other result.
Any examples, projections, or historical performance information are illustrative only and are not promises of future performance.
You are solely responsible for determining whether participation is suitable for you.
21. Disclaimers
To the maximum extent permitted by law, the Program, affiliate platform, tracking technology, marketing materials, and related services are provided “as is” and “as available.”
The Company disclaims all express, implied, and statutory warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and error-free operation.
The Company does not warrant that:
- Tracking will always function.
- Every referral will be attributed.
- The Program will be available without interruption.
- Any particular promotional method will be permitted by a third-party platform.
- You will earn any particular amount.
Nothing in these Terms excludes a warranty or right that cannot legally be excluded.
22. Limitation of Liability
To the maximum extent permitted by law, the Company and its affiliates, officers, directors, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost business, or reputational harm arising from or relating to the Program.
To the maximum extent permitted by law, the Company’s total liability arising from or relating to the Program will not exceed the greater of:
- The commissions paid or payable to you during the six months before the event giving rise to the claim; or
- One hundred U.S. dollars.
These limitations apply regardless of the legal theory asserted and even if a remedy fails of its essential purpose.
Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.
23. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless the Company and its affiliates, officers, directors, employees, contractors, and service providers from claims, damages, liabilities, judgments, penalties, losses, costs, and reasonable legal fees arising from or relating to:

24. Governing Law and Disputes
These Terms are governed by the laws of the State of [STATE], without regard to conflict-of-law principles.
Before filing a formal claim, each party agrees to provide written notice describing the dispute and to attempt in good faith to resolve it for at least 30 days.
Any unresolved dispute will be resolved through [CHOOSE ONE WITH COUNSEL: THE STATE OR FEDERAL COURTS LOCATED IN COUNTY, STATE / BINDING INDIVIDUAL ARBITRATION ADMINISTERED BY SPECIFIED PROVIDER].
If arbitration is selected, insert counsel-approved provisions addressing:
- Arbitration procedures.
- Costs and fees.
- Location.
- Small-claims exceptions.
- Class-action waiver.
- Jury-trial waiver.
- Opt-out rights, if appropriate.
- Any jurisdiction-specific disclosures.
Nothing prevents either party from seeking emergency injunctive relief regarding intellectual property, confidentiality, security, fraud, or unlawful conduct.
25. Assignment
You may not assign or transfer your Program account, rights, obligations, referrals, or commissions without the Company’s prior written approval.
The Company may assign these Terms in connection with a merger, acquisition, restructuring, sale of assets, or operation of law.
26. Notices
The Company may send notices to the email address associated with your affiliate account or through the affiliate dashboard.
You are responsible for maintaining a current email address and reviewing Program communications.

If a provision is held unenforceable, it will be modified only to the extent necessary, and the remaining provisions will continue in effect.
A failure to enforce a provision is not a waiver.
Headings are for convenience only.
